General Terms and Conditions

General Terms and Conditions
These General Terms and Conditions apply to all offers, work, quotations, and agreements between Vectrix bv (Chamber of Commerce Amsterdam 34226716), hereinafter referred to as "Vectrix", and clients or their legal successors, unless expressly agreed otherwise in writing between the parties. Any terms and conditions of clients are expressly not applicable, unless expressly accepted in writing by Vectrix.

Basis for quotations
Quotations from Vectrix are based on the information provided by the client. The client warrants that, to the best of their knowledge, they have provided all essential information for the planning and execution of the assignment. Violation of this obligation entitles Vectrix to immediately withdraw the request without being liable to the client or any third parties. An offer from Vectrix is valid for one month, unless stated otherwise in the offer.

Payment
The Client shall never have the right to set off any claim it has (or believes it has) against Vectrix against any debt it owes to Vectrix. After the due date, the Client shall be in default without any form of notice of default being required. Furthermore, the Client is obliged to pay all (extra)judicial costs incurred by Vectrix in connection with its failure to perform. If the assignment has been given by more than one Client, all Clients shall be jointly and severally liable for the fulfillment of the obligations as indicated in this article (regardless of the name on the invoice).

Interim termination
Vectrix has the right to terminate the agreement prematurely (without observing any notice period) if it is of the opinion that the Client is not fulfilling its obligations. The termination shall be notified to the other party in writing. In doing so, Vectrix retains the right to payment of invoices for work performed up to that point. In the event that either party becomes bankrupt, applies for a suspension of payments, or ceases business operations, the other party has the right to terminate the assignment without observing a notice period, all subject to reservation of rights.

Confidentiality
Vectrix shall keep confidential all matters entrusted to it as confidential in the performance of its duties or which have come to its knowledge in that context as a confidential matter. Vectrix shall not make further or different use of confidential information that has come to its knowledge in the performance of its duties, nor disclose such information in any other way, than is required for the fulfillment of its task.

Liability
Vectrix is liable for deficiencies in the execution of the assignment, insofar as these result from Vectrix's failure to observe the diligence, expertise, and professionalism that may be expected when providing advice within the scope of the assignment concerned. Any liability for damage caused by deficiencies on the part of Vectrix is limited to the amount of the fee that Vectrix has received for its work within the scope of that assignment. Such claims must be reported to Vectrix in writing no later than one year after the termination of the assignment. Any legal actions by the Client based thereon must be instituted within six months after the reporting of the claims, failing which the Client shall forfeit its rights under such claims. The Client shall indemnify Vectrix in the event of claims by third parties.

Applicable law
These general terms and conditions are governed by Dutch law.

Dispute resolution
All disputes relating to agreements between Vectrix and the Client to which these general terms and conditions apply shall be settled by the competent court in the district where Vectrix has its registered office.
